Terms of Service — Euro Cabinet (Public Offer)

This document is a public offer (the “Agreement”) made by [OPERATOR_LEGAL_NAME] (operator of ADSLY.pro, hereinafter “ADSLY”, “we”, “us”) to any natural or legal person (the “Client”, “you”) who orders the Euro-cabinet opening service through ADSLY.pro. By submitting an order and completing payment, the Client fully and unconditionally accepts this Agreement.

1. Parties

Client: any person who places an order via the Euro-cabinet self-service form on ADSLY.pro and completes payment.

2. Subject of the Agreement

ADSLY provides the Client with a paid service consisting of:

The cabinet is registered on ADSLY’s EU legal entity. The Client receives operational access (campaign management, top-ups, reporting) but is not the legal owner of the cabinet account.

3. Order Placement

The Client places an order by submitting the self-service form on ADSLY.pro and supplying:

4. Pricing & Payment

4.1. Total Price Composition

The total invoice amount the Client must pay is calculated as follows:

Payments are accepted exclusively in USDT on the TRC-20 (Tron) network. No other cryptocurrency, fiat method, bank transfer, or card payment is accepted for this service.

4.3. Invoice Lifetime

Each invoice is valid for 1 (one) hour from the moment of issuance. Invoices not paid within this window are automatically archived. The Client must create a new request if payment was not completed in time. ADSLY locks the EUR/USD exchange rate at the moment of invoice issuance for that 1-hour window only.

4.4. Prepayment

Service is rendered strictly on a full prepayment basis. ADSLY does not begin the cabinet-opening process until the full invoice amount is received and confirmed on-chain.

5. Niche Declaration & Verification

5.1. Binding Declaration

The niche category declared by the Client at the moment of order submission is a binding contractual statement. Commission rates (per §4.1) and the resulting price quote are calculated on the basis of this declaration.

5.2. Verification Procedure

Before and after opening, ADSLY performs niche verification, which may include:

5.3. Niche Misdeclaration — Commission Non-Refundable

If verification reveals that the Client’s actual niche differs materially from the declared niche — for example, the Client declared “Finance” (White) while the actual content is “Crypto” (High-Risk), or declared “E-commerce” while the actual content is “Gambling” — the following terms apply:

  1. The commission portion of the payment (per §4.1) is NON-REFUNDABLE. This is because: (a) the reseller-side commission was calculated and committed at the lower (incorrect) tier; (b) processing was already executed by ADSLY at the wrong tier; (c) re-opening the cabinet at the correct tier requires re-payment of the commission delta to ADSLY’s reseller-network counterparty.
  2. The base €500 advertising budget itself remains refundable, less: (i) the payment-processing fee already paid (approximately USD 20–25), and (ii) the EUR/USD exchange-rate spread already locked at invoice issuance.
  3. ADSLY may, at its sole discretion, instead offer the Client to top-up the commission delta and continue under the correct tier.

By accepting this Agreement, the Client expressly acknowledges that the niche declaration is binding and that misdeclaration triggers the commission-forfeiture rule above.

6. Service Performance

ADSLY commits to opening the Euro-cabinet within 48 business hours of receiving full payment confirmation on-chain. “Business hours” means Monday through Friday, excluding Saturdays, Sundays, and ADSLY’s published public holidays in [JURISDICTION]. Saturday and Sunday do not count toward the 48-hour window.

If the cabinet cannot be opened within the SLA due to causes outside ADSLY’s control (Telegram-side moderation, reseller-network outage, force majeure), ADSLY will notify the Client and either extend the timeline or offer a full refund of the base amount per §7.

7. Refunds

7.1. Before Cabinet Is Opened

If the cabinet has not yet been opened on ADSLY’s EU entity, the Client may request a refund. ADSLY will refund the base €500 advertising budget, less:

Per §5.3, the commission portion is non-refundable when misdeclaration is established by ADSLY’s verification. The base budget remains refundable as in §7.1.

7.3. After Cabinet Is Opened

Once the cabinet is opened on ADSLY’s EU legal entity and access credentials are transferred to the Client, the payment is fully consumed: the €500 base budget is by then in the Client’s cabinet as advertising spend balance, the commission has been transferred to the reseller network, and processing fees have been paid. No refund is possible after this point.

7.4. Refusal by ADSLY

If ADSLY refuses to open the cabinet (per §9), the Client receives a full refund of the base amount minus payment-processing fees only. No commission is retained in this case.

ADSLY reserves the right, at its sole discretion, to refuse opening a cabinet for any reason — including but not limited to banned content per Telegram Ads policy, internal compliance grounds, or risk-control considerations. In such case the Client is refunded per §7.4.

10. Liability

ADSLY acts as a reseller of Telegram Ads cabinets. ADSLY does not control Telegram’s moderation, ad-approval rates, audience reach, conversion, or campaign performance. ADSLY does not guarantee any specific approval rate, CPM, CTR, CVR, or business outcome.

10.1. Telegram-side suspension or block. The Client acknowledges that the cabinet is opened on Telegram’s official advertising platform and is fully subject to Telegram’s policies (promote.telegram.org/guidelines). Telegram may, at its sole discretion and without prior notice, suspend, restrict, or permanently block the cabinet for any violation of its rules — including but not limited to prohibited content, deceptive ads, low-quality landing pages, fraudulent activity, or any breach of Telegram’s acceptable-use policy. Such actions are taken by Telegram, not by ADSLY. ADSLY bears no responsibility and provides no compensation, refund, or replacement for cabinets blocked, suspended, or restricted by Telegram. Any unspent balance at the moment of a Telegram-side block may be irrecoverable; the Client assumes this risk in full.

To the maximum extent permitted by applicable law, ADSLY’s aggregate liability under this Agreement shall not exceed the amount actually paid by the Client for the specific order giving rise to the claim. ADSLY is not liable for indirect, incidental, consequential, or punitive damages.

11. Privacy

Processing of personal data is governed by ADSLY’s Privacy Policy, which forms an integral part of this Agreement.

12. Disputes & Jurisdiction

This Agreement is governed by the laws of [JURISDICTION]. The parties shall first attempt to resolve disputes amicably through written communication to hello@adsly.pro. Unresolved disputes shall be referred to the competent courts of [JURISDICTION].

13. Acceptance

The Client’s acceptance of this Agreement is constituted by:

  1. Ticking the “I agree to the Terms of Service” checkbox in the order form;
  2. Submitting the order; and
  3. Completing payment of the issued invoice.

All three actions together form a binding electronic agreement.

14. Changes to this Agreement

ADSLY may update this Agreement from time to time. The version applicable to a given order is the version in force at the moment of order submission. Subsequent updates do not retroactively alter terms of orders already placed.
